Terms of Service for Lemon Qube LLC

Effective Date: March 24, 2025

1. Acceptance of Terms

By signing a digital contract, users agree to comply with and be bound by these Terms of Service. If you do not agree to these terms, you must not use our services.

2. Services Provided

Lemon Qube LLC offers the following services based on each customer's needs. Some features can be added or removed depending on the specific service requirements:

  • Web Design Services:
    Custom websites with responsive designs tailored to each business's needs. The service can range from a few pages to large-scale websites with multiple features. The scope of the design and functionality is determined based on the project.
  • Web Development Services:
    Includes the development of websites using platforms like Webflow, with all necessary customizations for a seamless user experience. The scope includes front-end development, integrations, and any backend requirements.
  • Landing Page Services:
    A single, highly focused web page designed to convert visitors into leads or customers, with custom designs tailored to the user's business.
  • E-commerce Services:
    Custom-built e-commerce solutions that support a wide range of products, shopping carts, secure payment gateways, and customer management tools.
  • Branding and Rebranding Services:
    Develop a brand strategy, logo, and full brand identity to create a unified presence across digital platforms.
  • Social Media Management:
    Managing and curating content for social media platforms, including posts, engagement with followers, and strategy development for brand growth.
  • Digital Marketing:
    Full-service digital marketing, including search engine optimization (SEO), pay-per-click (PPC) advertising, email marketing, and more.
  • Custom Software Development:
    Building custom software solutions like CMS, LMS, and other business-critical tools designed to help businesses scale.

3. General Service Agreement

Summary

By engaging Lemon Qube LLC ("our company"), you, The Client, are hiring us to provide the services outlined in our previous correspondence, including but not limited to website design, development, branding, social media management, and other digital services.

As our customer, you confirm that you have the authority to enter into this contract on behalf of your company or organization. You agree to provide us with all necessary materials (text, images, fonts, logos, business information, etc.) in the required format and within the timeframes specified. You agree to review our work, provide timely feedback, and approve or sign off on the work according to mutually agreed deadlines. You are also bound by the payment schedule set forth for the specific service.

We possess the experience and ability to carry out the services you need and will perform them in a professional and timely manner. We will strive to meet all deadlines, but we are not responsible for missed deadlines or delayed launch dates if you fail to provide the necessary materials or approve work in a timely manner. We will also maintain confidentiality regarding any information you share with us.

Details of the Work

  • We will provide services based on your requirements, such as web design, branding, or social media management, as outlined in our agreement. This includes an initial design and up to two rounds of revisions. Additional revisions or design work beyond this will require an extra quote.
  • For any additional pages, features, or services added after the agreement is signed, an updated quote will be provided.

HTML/CSS Layout Templates (for Web Development and Design)

  • We will develop websites using Webflow as our primary development platform, ensuring a responsive, high-quality design with a focus on performance. All pages will be built with valid HTML5 markup and styled with CSS3. The website will be tested across all major browsers (Apple, Microsoft, Mozilla, Google, Opera).
  • We will use Figma for the design process, providing you with editable design files containing all assets. You will have the opportunity to review, comment, and approve the designs before we move forward with development.
  • Testing will be performed across all modern browsers, including current versions of those made by Apple, Microsoft, Mozilla, Google, and Opera. Pages will also be tested to display similarly (not necessarily identically) in Microsoft Internet Explorer 7 and above, as this browser is now past its end of life.
  • We will not test templates in outdated or unsupported browsers (e.g., Internet Explorer 5, 6, or older versions of browsers like Safari, Firefox, or Opera), unless otherwise specified.

4. User Responsibilities

Users agree to provide all necessary information to facilitate the services requested, including but not limited to photos and business-related information. Users are also responsible for adhering to all applicable laws and regulations.

5. Payment Terms

Customers will pay 50% upfront when the contract is signed and the remaining 50% upon project delivery. For monthly services, including social media management, payment will be due one month in advance for either the Standard or Pro package.

6. Website Support Period

Lemon Qube LLC provides 30 days of website support following the completion of a project. During this period, we will assist with any issues that arise on the website. The support period can be extended for any amount of months if the customer pays an additional website management and maintenance plan, which is an add-on service, not a standalone service.

7. Intellectual Property

All intellectual property rights related to the services provided, including designs and branding materials, remain with Lemon Qube LLC until full payment has been received. Upon full payment, rights will transfer to the customer, subject to any licenses retained by Lemon Qube LLC.

8. Limitations of Liability

Lemon Qube LLC will not be liable for any indirect, incidental, special, or consequential damages arising out of or related to the services provided. Our total liability shall not exceed the fees paid by the user for the specific service in question.

9. Termination

All services may be terminated by the customer at any time. However, if termination occurs after the first 5 business days, there will be no refund for any payments already made. Monthly services (e.g., Social Media Management) require a 15-day notice before the next billing cycle for cancellation.

10. Refund Policy

Refund requests will be evaluated on a case-by-case basis. If the refund request is due to Lemon Qube LLC's service infringement, a full refund will be issued within one month of the request and resolution of the case. If the refund request has no basis or if Lemon Qube LLC has fulfilled all responsibilities, no refund will occur.

11. Dispute Resolution

Any disputes must be submitted through our ticketing system and will be addressed within 15 business days. If unresolved, parties may seek further legal resolution.

12. Force Majeure

Lemon Qube LLC shall not be liable for any failure to perform its obligations under these Terms of Service if such failure results from any cause beyond Lemon Qube LLC's reasonable control, including, but not limited to, mechanical, electronic, or communications failure or degradation.

13. Confidentiality

Both parties agree to keep any confidential information shared during the course of the service secret and not disclose it to third parties without prior written consent, unless required by law.

14. Indemnification

Users agree to indemnify and hold harmless Lemon Qube LLC from any claims, damages, or expenses arising out of their use of the services or violation of these terms.

15. User-Generated Content

Users grant Lemon Qube LLC the right to use any content submitted (e.g., comments, designs) for marketing or promotional purposes without additional compensation.

16. Third-Party Services

Lemon Qube LLC is not responsible for the actions of third-party services or tools (such as Google Analytics or payment processors) used in connection with the services provided.

17. Limitations on Use

Users agree not to engage in any illegal activities, harassment, or spamming while using the services.

18. Termination for Cause

Either party may terminate the agreement for cause if the other party breaches any material term or condition and fails to cure such breach within a reasonable period after written notice.

19. Entire Agreement

These Terms of Service constitute the entire agreement between the parties regarding the subject matter herein and supersede all prior agreements or understandings.

20. Severability

If any provision of these terms is found to be unenforceable or invalid, the remaining provisions will continue to be in effect.

21. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the State of Delaware.

22. Modifications of Terms

Lemon Qube LLC reserves the right to modify these terms at any time. Users will be notified of any changes via email, SMS, or website notification on the same day the changes are made.

24. Pricing and Fees

Pricing may vary based on the services selected and applicable state taxes. Lemon Qube LLC will charge a standard price across all states, with final prices adjusted according to local tax laws.

25. Price Changes

Lemon Qube LLC reserves the right to change service prices at any time. Existing customers will be informed at least one month in advance of the first charge reflecting the new pricing.
